(NYSE:A) today announced it has signed an agreement to acquire TILL Photonics GmbH and has completed the acquisition of Colloidal Dynamics. Both companies will join the recently created Materials Science Solutions Unit within Agilents Life Science and Chemical Analysis business. Financial details were not disclosed. The TILL Photonics GmbH acquisition is expected to be final at the end of March, subject to certain closing conditions.
In addition to the acquisitions, Agilent is announcing five enhancements to its flagship gas chromatograph (GC) and GC/mass spectrometer (GC/MS) platforms, designed to improve analysis of complex mixtures and make powerful qualitative and quantitative capabilities accessible to a wider range of laboratories.
Acquisitions for Business Unit
The Agilent Materials Science Solution Unit (MSSU) was formed in 2007 under the leadership of Mike Gasparian, vice president and general manager. MSSUs focus is to provide microscopy, particle analysis and optical spectroscopy solutions for the materials testing, life sciences and chemical analysis markets, as well as to advance nanotechnology.
Our Materials Science Solutions Unit targets expansion of measurement platforms for research scientists in many existing and new market segments, said Mike Gasparian, vice president and general manager of Agilents Materials Science Solutions Unit. When final, the TILL Photonics acquisition will position Agilent as a premier provider of advanced optical and fluorescence microscopy systems. Colloidal Dynamics launches our particle-measurement portfolio, allowing us to offer customers unmatched zeta-potential and particle-size measurement tools.
TILL Photonics develops and markets innovative life science products for fluorescence microscopy. The acquisition will complement Agilents atomic force microscope (AFM) platform and is consistent with Agilents strategy of providing customers with comprehensive workflow solutions. TILL Photonics employees are expected to join Agilent when the acquisition becomes final at the end of March. Headquartered in Munich, Germany, the company was founded in 1993.

The meetings include technical training on anti-doping instruments and methods developed by Agilent, a primary supplier of technology to Chinas Anti-Doping Agency since 1988.
The China Anti-Doping Agency is one of the largest and most technologically advanced testing facilities in the world; it will examine more than 4,500 samples from athletes during the 2008 Olympic Games. The agency has equipped its Beijing lab with state-of-the-art Agilent liquid chromatography (LC), gas chromatography (GC) and mass spectrometry (MS) instruments to confirm the chemical identity of suspected banned substances found in testing samples. (NYSE:A) today announced an agreement to provide the Hannon laboratory at Cold Spring Harbor Laboratory (CSHL) with oligonucleotide libraries to further develop the widely used small hairpin RNA interference (shRNA) libraries.
Howard Hughes Medical Institute investigators Gregory Hannon, Ph.D., at CSHL, and Stephen Elledge, Ph.D., the Gregor Mendel professor of Genetics at Harvard Medical School, pioneered the generation of plasmid-based shRNA libraries. These libraries contain constructs against all identified genes in the human and mouse genomes with the unique ability to silence targeted genes very specifically and effectively over long time periods. The earlier collaborative work was published in Nature Methods 1, 241-248 (2004) and Nature Genetics 37, 1281-1288 (2005).
Agilent has significantly improved its programmable in-situ oligonucleotide synthesis technology since the original publication, and weve developed the capability to synthesize as many as 55,000 oligonucleotides per library, and also make them as long as 200 bases, said Emily LeProust, Ph.D., R&D chemistry manager, Genomics for Agilent. This means that we can provide Dr. Hannon with high quality starting material in a massively parallel fashion and at a cost significantly lower than current oligonucleotide synthesis technology.
The 100 base-pair barrier has been broken, and researchers no longer need to combine individually synthesized oligos from microplates into a single tube, she added.
Agilent says that it is producing at a very low error rate (one out of 250 bases or better), and is delivering quantities from 0.2 fmol to tens of fmols per oligo. The flexible synthesis platform permits rapid prototyping of an oligo mixture prior to scale-up for larger studies. The ability to synthesize long oligos of high quality enables novel approaches to the study of biological problems and systems. Agilent oligo libraries are available to selected users under an early access program.

(NYSE:A) today reported orders of $1.40 billion for the first fiscal quarter ended Jan. 31, 2008, 12 percent above one year ago. Revenues during the quarter were $1.39 billion, 9 percent above last year. First quarter GAAP net income was $120 million, or $0.31 per diluted share. Last years first quarter GAAP net income was $150 million, or $0.36 per share.
Included in this quarters GAAP income is $30 million of share-based compensation expense. Excluding this item and $10 million of other net adjustments, Agilent reported first quarter adjusted net income of $160 million, or $0.42 per share. On a comparable basis, the company earned $162 million, or $0.39 per share, one year ago. (1)
Agilent had a good fiscal first quarter, with performance that was very much in line with our expectations, said Bill Sullivan, Agilent president and chief executive officer. Revenues of $1.39 billion were up 9 percent from last year, near the high end of guidance.
Bio-Analytical markets showed sustained momentum, with segment orders up 20 percent and revenues up 15 percent, the seventh consecutive quarter of double-digit segment growth. Demand remains robust in both life sciences and chemical analysis markets, and across all geographies.
While Electronic Measurement markets remain mixed, we did see some overall improvement compared to prior quarters, with better balance between general purpose and communications markets, and across geographic regions. Segment orders were up 8 percent while revenues were 5 percent ahead of last year.
First quarter adjusted net income per share, at $0.42, was also near the top of our $0.38 - $0.43 guidance range.
First quarter Return on Invested Capital(2) was 23 percent, equal to last years record first quarter, despite the addition of nearly $390 million of acquisitions. Inventory Days-On-Hand was improved by 3 days from one year ago. During the period, the company repurchased $237 million of its common stock.
Looking ahead to the remainder of fiscal 2008, Sullivan said the company had anticipated some slowing, mainly in U.S. markets, and had planned the year conservatively as a result. Given current trends, Sullivan said the company was still comfortable with the range of analyst estimates for FY2008 revenues and adjusted net income per share.(3) For the fiscal second quarter of 2008, revenues are expected to be in the range of $1.40 billion to $1.45 billion, up 6 percent to 10 percent from last year. Second quarter adjusted net income per share is expected to be in the range of $0.46 to $0.50 per share, 7 percent to 16 percent above last years comparable earnings.

This multi-gigabit transceiver library reduces development costs and increases productivity compared with classical analog simulation methods for multi-GHz printed circuit board and backplane signal integrity design and analysis.
In the past, signal-integrity designers wishing to simulate the performance of multi-gigabit transceivers were faced with a single, time-consuming, option: to push the limits of simulators designed for lower-frequency analysis, said Joe Civello, product marketing manager with Agilents EEsof EDA division. With this new Stratix II GX FPGA transceiver library, our mutual customers can take advantage of the most advanced simulation technology available for faster and more accurate high-speed serial link design.
