| 2008-02-28 | Contract/Agreements | Affiliated Computer Services, Inc. has been awarded a renewed contract by Northrop Grumman Information Technology to provide electronic benefit transfer (EBT) services to the Department of Human Services for the State of Illinois. The five year contract has a value of $36 million to ACS, and was reflected in ACS' second quarter fiscal year 2008 renewals.
As a sub contractor to Northrop Grumman, ACS provides retail management and software support services for the state's Illinois Link program, which enables food stamp and cash assistance recipients to receive benefits electronically through the use of a LINK debit card at a retail store. ACS has served the state since 2001.
"Being able to access benefits electronically means more convenience and security for recipients, and cost savings for the taxpayer," said Carol L. Adams, Ph.D., Secretary of the Illinois Department of Human Services. "Using the LINK card rather than presenting food stamp coupons also helps reduce the embarrassment some recipients may feel when accessing the benefits to which they are entitled."
Under the contract, ACS will provide a web site for cardholders to view transactions online, enhancements to the Interactive Voice Response System, and mailing for card replacement requests.
"ACS utilizes technology and our subject matter expertise to provide the innovation our government clients need," said Ann Kieffaber, ACS managing director, State and Local Solutions. "Working together with Northrop Grumman, we're able to help the Department of Human Services focus on serving the citizens of Illinois."
ACS annually processes $1.6 billion in LINK card transaction settlements to more than 7,000 retailers. Additionally, ACS produces and distributes more than 600,000 LINK cards annually. Illinois was one of the first states to benefit from the use of EPPIC, an ACS owned, flexible, web interface system that allows the state and ACS to easily make system enhancements.

| 2008-02-22 | Merger/Acquisition | Affiliated Computer Services, Inc. today announced that it has acquired Bowers & Associates, Inc., a Wisconsin based provider of quality care and productivity management services and healthcare data analytics, for $8 million, plus contingent payments based on future financial performance.
The acquisition strengthens ACS' Informed Health offerings by adding Bowers' expertise in healthcare management and state of the art informatics. These capabilities provide health management services that improve the health and productivity of patients. ACS' Informed Health solutions provide physicians, pharmacists, payers, and patients with access to clinical and claims information from a wide variety of previously unconnected sources, to enable them to make smarter decisions about healthcare treatment.
"ACS is already a leading provider in the emerging health information exchange market. Bowers will broaden the capabilities of our government healthcare business to include the delivery of best in class, accredited care management services for high risk beneficiaries," said Christopher T. Deelsnyder, ACS senior vice president and managing director, Government Healthcare Solutions. "ACS clients will benefit from our enhanced ability to help them provide the highest quality of care."
Bowers' suite of modeling, profiling, reporting and health risk prediction tools is considered among the most innovative in the industry. Bowers is one of only a handful of companies that holds Utilization Review Accreditation Commission (URAC) accreditations for utilization management, case management, disease management, and worker's compensation case management. URAC is an independent, nonprofit organization that is considered a leader in promoting health care quality through its accreditation and certification programs.
"Leveraging ACS' platform will allow us to pursue large scale implementations and provide deeper value to our customers," said Tim Bowers, chief executive officer of Bowers & Associates. "The combination of these two skills brings to the healthcare market a unique, flexible offering that can be tailored to meet the client's specific health management needs."
Bowers' trailing twelve months revenue was approximately $6 million, and the acquisition will be funded with cash on hand. Bowers currently provides care management services and analytic tools to government and commercial organizations whose employees are covered beneficiaries of health insurance plans. Bowers manages care for approximately 225,000 plan members. All of Bowers' employees will transition to ACS. |
| 2008-02-21 | Contract/Agreements | Affiliated Computer Services, Inc. announced today that it has been named to HRO Today magazine's "Baker's Dozen" list of top providers of learning and development services within the human resource outsourcing (HRO) industry. ACS provided learning and development services to more than 3 million client employees in 2007. It is the third year in a row the company has been named to the magazine's list.
ACS was chosen from an initial field of more than two dozen training and development providers that integrate learning with talent management to support broader human capital and operations strategies. Recipients were asked to supply key data and facts about the services they offered, including their largest clients, annual revenues for training and development services, and, most importantly, how many outside employees the company trained in 2007. Some of those ranked are purely learning providers, while others, including ACS, offer end to end learning process outsourcing (LPO) services in concert with a full range of HRO solutions.
"We are honored to be included in the Baker's Dozen for the third consecutive year," said Ann Vezina, group president of ACS Commercial Solutions. "It speaks highly of our ability to provide flexible, reliable learning and talent management services to our clients and strengthens our position as leaders and innovators in the HRO sector.
"The fact that we're included on this list, and that we and one of our clients Toyota Financial Services are featured in the cover story of this month's HRO Today, draws attention to the depth and breadth of our HRO and LPO capabilities and to the quality of our people who work hard on behalf of our many clients," Vezina said.
ACS provides a broad range of HRO and learning outsourcing services that help its diverse, global clients execute business strategies, drive performance, increase proficiency, and achieve growth. Through its LPO service, ACS supports approximately 3 million people in 20 languages in more than 80 countries. The global LPO market is estimated to be $60 billion.
The company's LPO solutions leverage powerful processes and technologies to deliver services from global delivery centers in the Americas, Europe, and Asia Pacific. ACS' learning outsourcing services span the entire learning life cycle from talent management and learning strategy to curriculum design and development, including a world class hosted learning management system and related managed administration, learner care, and support services. | 2008-02-14 | Merger/Acquisition | Affiliated Computer Services, Inc. today announced an agreement to acquire sds business services GmbH, a Germany based provider of data center, infrastructure services, and application related solutions from Waterland Private Equity Investments (Waterland). The acquisition is expected to close in March 2008 following regulatory approval. ACS will pay approximately $67 million (euro 46 million), including the assumption of liabilities, to purchase sds. The transaction will be funded with a combination of existing cash on hand and borrowings under ACS' existing credit facility.
The addition of sds strengthens ACS' global information technology outsourcing (ITO) presence by providing IT operations and capabilities in Germany. The acquisition continues to strengthen the company's position as a leading provider of responsive, reliable, and flexible ITO services and solutions to the world market.
"This acquisition demonstrates ACS' commitment to growing our business in continental Europe while improving our ability to compete where multi national capabilities are essential for success," said Derrell James, ACS senior managing director of IT Outsourcing. "With facilities and infrastructure in place in Mulheim an der Ruhr and a reputable list of clients, sds strengthens our global delivery model, enabling us to provide our European and international clients with multi scope IT services on a global scale."
The European ITO market is approximately a euro 70 billion industry with an estimated compound annual growth rate of about 7 percent over the next two years. ACS recently completed the acquisition of Syan Holdings Limited, a U.K. based provider of ITO services and one of the United Kingdom's largest IBM Business Partners, for approximately $60 million (pounds Sterling 30.5 million).
Founded in 1969, sds specializes in fully outsourced data center and infrastructure services, including application hosting and maintenance, system design and integration, IT consulting, and IT lifecycle management. Additionally, it has broad expertise in SAP consulting and integration services, as well as customized software development. Over time, ACS will integrate its full suite of ITO service offerings into the sds portfolio for delivery to its global clientele.
Waterland acquired sds in 2005 from Stinnes AG and turned the company into an independent provider of IT services. "After the successful transformation from a former Stinnes Group IT provider to an independent player, proactively marketing its services to new customers, the joining of forces between sds and ACS will offer the company new opportunities," said Joerg Dreisow, principal of Waterland.
"The combination of sds and ACS strengthens our ability to pursue global and European business and emphasizes our commitment to developing efficient and innovative solutions that meet our clients' unique needs," said Albrecht Held, sds managing director and chief executive officer. "Our Germany based global clients will be backed by a FORTUNE 500 company with global delivery capabilities, and we will be able to deliver an expanded suite of ITO and BPO services to our global customers."
For the twelve month period ending December 31, 2007, sds had revenues of approximately $40 million. The business will continue to be managed by sds' existing executive team, adding approximately 160 employees to ACS in Europe. |

"TennCare looks forward to working with ACS as they assume their contracted responsibilities for an integral part of our day to day operations."
ACS is partnering with Zycron, a Nashville based minority owned information technology staffing and outsourcing company. "Our partnership will enable Allergan to focus on its global core business operations as the company grows and help meet Allergan's need for advanced technological capabilities." Along with comprehensive ITO services, ACS will implement an innovative platform that utilizes a network connection to store important data online, provide additional data security, and more reliably restore backup data. Sue-Jean Lin, Allergan's Chief Information Officer, said, "With our many innovative products, we operate in a wide range of global, high-growth markets. We needed a strategic partner who could not only support our market-leading positions, but help us meet the challenges of continued expansion.
